These Terms of Service ("Terms") govern your access to and use of the websites, applications, products, and services provided by WayCrumb, Inc. ("WayCrumb," "we," "us," or "our") through https://waycrumb.com and related platforms (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

By using the Service, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and that you have the legal capacity to agree to these Terms. If you are using the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Scope of Service

WayCrumb, Inc. grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your personal, non-commercial trip planning and memory-keeping purposes, subject to these Terms.

3. Account Registration

You agree to provide accurate, current, and complete information when registering and to update your account information as necessary.
You are responsible for safeguarding your login credentials and for all activities that occur under your account.

4. User Responsibilities

You will comply with all applicable laws and these Terms.
You are responsible for your use of the Service and any content or data you submit ("Your Content"), including pins, itinerary entries, photos, videos, voice memos, and comments.
You warrant that Your Content does not violate any third-party rights, applicable laws, or these Terms.
When inviting others to a trip, you confirm you have permission to share their contact information with us for the purpose of sending the invitation.

5. Prohibited Use

You may not:

Attempt to reverse engineer the Service;
Interfere with the operation of the Service;
Use the Service for unlawful purposes;
Bypass or disable security features;
Upload viruses, malware, or other harmful code; or
Upload content that is harassing, defamatory, infringing, or otherwise objectionable.

6. Privacy & Data

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference and explains how we collect, use, disclose, and protect information about you.
You acknowledge and agree that WayCrumb, Inc. may process your personal information, including certain usage and account data, in accordance with the Privacy Policy.
If you provide or collect information from others through the Service (such as fellow trip members), you are responsible for complying with all applicable data protection and privacy laws, including providing any required notices and obtaining consent where required.

7. Third-Party Services

The Service may include integrations with third-party services (e.g., analytics, mapping providers, link preview services, email delivery providers, payment processors). Your use of such third-party services is subject to the terms and policies of the third-party providers.

8. Fees and Payment

Access to certain features of the Service may require payment of fees. You agree to pay all fees specified and to comply with any additional terms applicable to paid features.
All fees are non-refundable except as required by law or as explicitly provided by WayCrumb, Inc..

9. Data Ownership & License

You retain all ownership rights in Your Content.
You grant WayCrumb, Inc. a worldwide, royalty-free license to use, reproduce, display, and transmit Your Content as reasonably necessary to provide and operate the Service, including making it available to other members of the trips you participate in.

10. Security

WayCrumb, Inc. uses commercially reasonable measures designed to protect your data. However, no security system is impenetrable, and transmission of information over the internet is at your own risk.

11. Termination

WayCrumb, Inc. may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice where required by law. You may close your account at any time from your account settings.

12. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory.

13. Limitation of Liability

To the maximum extent permitted by law, WayCrumb, Inc.'s total liability arising out of or related to these Terms or the Service will not exceed the amounts you have paid to WayCrumb, Inc. in the twelve (12) months prior to the event giving rise to liability.

14. Indemnification

You agree to indemnify, defend, and hold harmless WayCrumb, Inc. and its officers, directors, employees, and agents from and against all claims, liabilities, losses, and expenses arising from your misuse of the Service or violation of these Terms.

15. Dispute Resolution & Arbitration

Please read this section carefully, it affects your legal rights.

Informal Resolution: Before seeking arbitration or court action, you agree to attempt to resolve any dispute by contacting WayCrumb, Inc. at support@waycrumb.com.
Arbitration: Except for small claims matters or where prohibited by law, you and WayCrumb, Inc. agree to resolve disputes through binding arbitration administered by a recognized arbitration organization, under the laws of the State of Delaware. The arbitration shall be conducted in English. Each party shall bear its own costs and fees, and the arbitrator may award any remedy permitted by applicable law.
Class Action Waiver: You and WayCrumb, Inc. agree that any dispute will be resolved on an individual basis and not on a class, collective, or representative action basis.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, excluding conflict of laws principles.

17. Changes to Terms

WayCrumb, Inc. may update these Terms from time to time. If we make material changes, we will provide notice via the Service or email. Continued use of the Service after changes means you accept the updated Terms.
