These Terms of Service ("Terms") govern your access to and use of the websites, applications, products, and services provided by WayCrumb Inc ("WayCrumb," "we," "us," or "our") through https://waycrumb.com and related platforms (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, downloading our mobile applications, using our APIs, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to the WayCrumb website, iOS and Android applications, APIs, developer tools, and any future products or services we may offer. If you are using the Service on behalf of an organization, employer, or other entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.

2. Eligibility

  • You must be at least 18 years old, or the age of majority in your jurisdiction, and have the legal capacity to enter into a binding contract.
  • You may not use the Service if you are barred from receiving services under the laws of the United States or other applicable jurisdictions, or if you are located in, ordinarily resident in, or a national of a country subject to comprehensive U.S. sanctions.
  • Business accounts may only be created by an individual with authority to bind the organization they represent.
  • You agree to comply with all applicable export control, sanctions, and anti-corruption laws in connection with your use of the Service.

3. Definitions

  • Service means WayCrumb's websites, mobile apps, APIs, and related products.
  • User means any individual who accesses or uses the Service.
  • Account means the credentialed profile a User creates to access the Service.
  • Subscription means any paid plan offered by WayCrumb Inc.
  • AI Features means recommendations, summaries, classifications, and other outputs generated by machine-learning systems within the Service.
  • Memory Vault means the personal archive of trips, pins, photos, notes, and other content associated with your Account.
  • Trip means a collection of destinations, itinerary entries, pins, and related content.
  • Collaborator means any User invited to view or edit a Trip.
  • Organization means a business or team entity managing one or more Accounts.
  • Content means any information, text, photos, videos, voice memos, links, or data submitted, uploaded, or generated through the Service.
  • Marketplace means any future feature enabling third-party Vendors to offer services through WayCrumb.
  • Vendor means a third party offering goods or services via the Marketplace or affiliate integrations.
  • API means the developer interfaces WayCrumb makes available for programmatic access to the Service.

4. Description of the Service

WayCrumb is an AI-powered collaborative travel planning and memory-keeping platform. The Service helps you save places, build itineraries, share trips with Collaborators, capture memories, and receive AI-generated recommendations. WayCrumb is not a travel agency, tour operator, booking service, transportation provider, insurance broker, immigration or visa advisor, or a licensed financial services provider. Any bookings, reservations, transactions, or legal or medical decisions you make based on Content in the Service are made directly with third parties and at your sole risk.

5. Account Registration and Security

  • You agree to provide accurate, current, and complete information at registration and to keep it up to date.
  • You are responsible for safeguarding your credentials, including any multi-factor authentication factors, and for all activity that occurs under your Account.
  • You must not impersonate another person, misrepresent your affiliation, or create an Account using another person's information.
  • Administrators of Organization accounts are responsible for managing their users, permissions, and access revocation.
  • You must notify WayCrumb Inc at support@waycrumb.com promptly if you suspect any unauthorized use of your Account.
  • Account recovery is subject to identity verification; we may decline recovery requests we cannot verify.

6. User Responsibilities

  • You will use the Service only for lawful purposes and in compliance with these Terms and all applicable laws.
  • You are responsible for the accuracy of information you submit, including addresses, contact details, and travel plans.
  • You must obtain any consents required before uploading, sharing, or storing information about third parties (including contact information, photos, or communications).
  • You are responsible for complying with local laws in the destinations you travel to and plan for.

7. Acceptable Use Policy

You agree not to, and not to permit any third party to:

  • Scrape, crawl, harvest, or otherwise extract data from the Service except through officially documented APIs and within their limits;
  • Reverse engineer, decompile, or disassemble the Service, except to the extent expressly permitted by law;
  • Conduct security testing, penetration testing, or vulnerability research without our prior written permission;
  • Deploy bots, scripts, or automated tools that place unreasonable load on the Service;
  • Introduce malware, viruses, worms, or other harmful code;
  • Use the Service to send spam, phishing messages, or unsolicited communications;
  • Abuse AI Features, including attempts to bypass safety measures, extract system prompts, generate unlawful content, or produce outputs that infringe third-party rights;
  • Upload or share content that infringes copyright, trademark, or other intellectual property rights;
  • Attempt to bypass authentication, rate limits, quotas, or other safeguards.

8. User Generated Content

  • You retain ownership of Content you submit to the Service.
  • You grant WayCrumb Inc a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting and technical purposes), create derivative works from (such as thumbnails, summaries, and translations), display, and transmit your Content as necessary to operate, provide, improve, and promote the Service.
  • You may designate Trips and Content as private or public. Public Content may be viewed, saved, and shared by other Users.
  • For collaborative Trips, all Collaborators may view and, if granted permission, edit the shared Content.
  • Memory Vault Content remains associated with your Account and is governed by our Privacy Policy.
  • We reserve the right, but not the obligation, to review, moderate, remove, or restrict Content that we believe violates these Terms or applicable law.
  • You may delete your Content at any time from within the Service; residual copies may persist in backups for a limited period.

9. Intellectual Property

WayCrumb Inc and its licensors own all right, title, and interest in and to the Service, including all software, user interfaces, visual designs, source code, trademarks, service marks, logos, databases, system prompts, model configurations, documentation, analytics, and any derivative works. Except for the limited license expressly granted in these Terms, no rights are granted to you, whether by implication, estoppel, or otherwise. All feedback, suggestions, or ideas you provide about the Service may be used by WayCrumb Inc without restriction or compensation to you.

10. AI Features

  • AI Features generate outputs using machine-learning systems and may be inaccurate, incomplete, biased, or outdated ("hallucinations").
  • AI outputs, including recommendations, summaries, categorizations, and translations, are provided for informational purposes only and must not be relied upon as professional advice (legal, medical, financial, immigration, safety, or otherwise).
  • You are responsible for verifying any AI output before acting on it, particularly for travel logistics, health, safety, visas, and financial decisions.
  • We may use aggregated and de-identified interactions with AI Features to improve the Service, subject to our Privacy Policy.
  • Feedback you provide on AI outputs (thumbs up/down, corrections) may be used to improve model performance.
  • Human judgment remains your responsibility; the Service does not replace professional expertise.

11. Third-Party Services

The Service integrates with third-party services including mapping and location providers, weather providers, AI providers, cloud hosting, analytics, email delivery, payment processors, booking partners, and social platforms. Your use of any third-party service is governed by its own terms and privacy policies. WayCrumb Inc does not control and is not responsible for third-party services, their availability, content, or practices.

12. Subscriptions and Billing

  • Certain features require a Subscription. Pricing and features are described at the point of purchase.
  • Subscriptions renew automatically at the end of each billing period unless canceled prior to renewal.
  • Applicable taxes are your responsibility unless we are legally required to collect them.
  • Refunds are provided only where required by law or as expressly stated in our refund policy.
  • Purchases made through the Apple App Store or Google Play are subject to those platforms' billing terms, and refunds may need to be requested through the platform.
  • Card and other electronic payments are processed by third-party payment processors such as Stripe; you agree to their terms.
  • Promotional or introductory pricing may be limited in duration; standard rates apply thereafter.
  • If a payment fails, we may suspend or downgrade access until the balance is paid.
  • Enterprise plans are governed by a separately executed order form or agreement, which controls in the event of conflict with these Terms for the enterprise features it covers.

13. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information, including under the GDPR, UK GDPR, CCPA/CPRA, and other applicable data protection laws. It also describes international data transfers and your rights as a data subject. By using the Service, you acknowledge our data practices as described in the Privacy Policy.

14. Beta Features

From time to time we may offer beta, preview, or early-access features ("Beta Features"). Beta Features are provided "as is," without warranty, and may be changed, limited, or removed at any time without notice. Beta Features may be less reliable and are not recommended for critical use.

15. Availability and Maintenance

We strive to keep the Service available but do not guarantee uninterrupted access. We may perform scheduled and unscheduled maintenance and may modify or discontinue features. The Service depends on third-party infrastructure and APIs and may be affected by their failures or changes. Except where required by an applicable service-level agreement, we are not liable for interruptions.

16. Security

WayCrumb Inc maintains commercially reasonable administrative, technical, and physical safeguards, including encryption in transit and, where appropriate, at rest, access controls, and incident response processes. You are responsible for keeping your credentials secure, keeping your devices and software up to date, and enabling available account protections such as multi-factor authentication. We maintain backups for disaster recovery but do not guarantee that any specific data can be recovered.

17. Suspension and Termination

  • We may suspend or terminate your Account or any portion of the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created legal or security risk.
  • You may terminate your Account at any time by using the in-app deletion controls or by contacting support@waycrumb.com.
  • You may export certain Content prior to deletion where such functionality is offered.
  • After termination, we may retain Content and account data as necessary to comply with legal obligations, resolve disputes, and enforce our agreements, consistent with our Privacy Policy.
  • Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) survive.

18. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WayCrumb Inc DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WayCrumb Inc AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TRAVEL OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE, AI OUTPUTS, TRAVEL DISRUPTIONS, THIRD-PARTY FAILURES, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO WayCrumb Inc IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

20. Indemnification

You agree to indemnify, defend, and hold harmless WayCrumb Inc, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Content; (b) your use or misuse of the Service; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) your decisions or actions taken based on the Service, including AI outputs and travel plans.

21. Force Majeure

Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, cyberattacks, government action, war, terrorism, civil unrest, labor disputes, pandemics or epidemics, internet or telecommunications failures, or failures of third-party providers.

22. Marketplace and Affiliate Features

The Service may include or later add a Marketplace, affiliate links, booking partners, or sponsored recommendations. Transactions with Vendors are between you and the Vendor; WayCrumb Inc is not a party to those transactions and is not responsible for Vendor performance, quality, or refunds unless expressly stated. We may earn commissions on affiliate links or sponsored placements; we disclose such relationships as required by law.

23. Mobile Applications

  • Apple App Store. If you obtained the app from the Apple App Store, you acknowledge that these Terms are between you and WayCrumb Inc, not Apple, and that Apple is not responsible for the app or its content. Apple is a third-party beneficiary of these Terms with respect to the app and may enforce them against you. Additional Apple Licensed Application terms apply, including limits on use to Apple-branded products and iCloud/App Store terms.
  • Google Play. If you obtained the app from Google Play, your use is also subject to the Google Play Terms of Service.
  • Permissions. The app may request permissions such as location, camera, photos, contacts, notifications, and background refresh. You may grant or revoke these permissions in your device settings; some features may be unavailable if permissions are denied.
  • Updates. We may issue updates to the app; some updates may be required to continue using the Service.

24. APIs and Developer Access

  • WayCrumb Inc may make APIs available under a limited, revocable, non-exclusive, non-transferable license for use in accordance with the API documentation.
  • You must authenticate all API calls, respect rate limits and quotas, and not attempt to bypass technical restrictions.
  • We may throttle, suspend, or revoke API access to protect the Service or investigate abuse.
  • You must not use APIs to build a competing product or to redistribute WayCrumb data at scale without our written permission.

25. Electronic Communications

You consent to receive communications from WayCrumb Inc electronically, including notices, agreements, disclosures, and other information. You agree that electronic signatures, contracts, notices, and other records satisfy any legal requirement that they be in writing.

26. Export Controls

You represent that you are not located in, ordinarily resident in, or a national of a country subject to comprehensive U.S. embargoes, and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Service.

27. DMCA and Copyright

WayCrumb Inc respects intellectual property rights and responds to notices of alleged infringement under the U.S. Digital Millennium Copyright Act (DMCA). If you believe Content on the Service infringes your copyright, send a written notice to copyright@waycrumb.com including: (a) a physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) your contact information; (e) a good-faith statement that the use is not authorized; and (f) a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act. We maintain a policy of terminating repeat infringers in appropriate circumstances.

28. Dispute Resolution

Please read this section carefully; it affects your legal rights.

  • Informal Resolution. Before starting arbitration or court proceedings, you agree to first contact WayCrumb Inc at legal@waycrumb.com and attempt in good faith to resolve the dispute for at least 60 days.
  • Binding Arbitration. Except for small-claims matters or where prohibited by law, you and WayCrumb Inc agree to resolve disputes through final, binding, individual arbitration administered by a recognized arbitration organization under its consumer rules. Arbitration will be conducted in English and, unless the parties agree otherwise, seated in Delaware. Each party bears its own costs and fees except as the rules or applicable law require otherwise.
  • Class Action Waiver. You and WayCrumb Inc agree that disputes will be resolved only on an individual basis and not as a class, collective, consolidated, or representative action. If this waiver is held unenforceable, the entire arbitration provision is void.
  • Venue for Non-Arbitrable Matters. For claims that are not subject to arbitration, the exclusive venue is the state and federal courts located in Delaware, and each party consents to personal jurisdiction there.

29. Governing Law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

30. Assignment

You may not assign or transfer these Terms or any rights or obligations under them, in whole or in part, without our prior written consent. WayCrumb Inc may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any prohibited assignment is void.

31. Entire Agreement

These Terms, together with the Privacy Policy and any order forms or supplemental terms referenced herein, constitute the entire agreement between you and WayCrumb Inc regarding the Service and supersede all prior or contemporaneous agreements, proposals, or representations, written or oral.

32. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

33. Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of WayCrumb Inc.

34. Survival

Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and these general provisions.

35. Accessibility

WayCrumb Inc is committed to making the Service accessible to users with disabilities and continues to improve accessibility over time. If you encounter an accessibility barrier, please contact support@waycrumb.com so we can address it.

36. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice via the Service, by email, or by updating the "Last Updated" date at the top of these Terms. Continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms.
